Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and WealthSignal ("Company," "we," "us," or "our") governing your access to and use of the WealthSignal platform, including our website, mobile applications, APIs, and all related services (collectively, the "Platform").

By creating an account, accessing the Platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all other applicable policies incorporated by reference. If you do not agree to these Terms, you must not use the Platform.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

2. Eligibility

To use WealthSignal, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Reside in a jurisdiction where the use of automated trading tools is permitted
• Have a valid brokerage account with a supported broker (currently Alpaca Markets)
• Not be prohibited by applicable law, regulation, or court order from using financial services

By using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service or terminate accounts that do not meet these requirements.

3. User Accounts

3.1 Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the accuracy of your account information and must promptly update it if it changes.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at support@wealthsignal.com of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

3.3 One Account Per User

You may only create and maintain one active account. Creating multiple accounts to circumvent restrictions, exploit promotions, or for any other improper purpose is prohibited.

3.4 Broker API Credentials

By connecting your brokerage account to WealthSignal, you authorize us to access your brokerage account via the broker's API solely to execute the automated trading strategies you configure. We store your API credentials using industry-standard encryption. You may revoke this access at any time by disconnecting your broker account from the Platform or revoking API access directly with your broker.

4. Subscriptions & Billing

4.1 Subscription Plans

WealthSignal offers the following subscription plans:

4.2 Billing & Auto-Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Your subscription will automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees.

4.3 Refund Policy

All subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to the Platform until the end of the current billing period. We do not provide partial refunds for unused periods.

In exceptional circumstances (e.g., verified billing errors or technical failures preventing access for an extended period), we may, at our sole discretion, issue a credit or refund. To request consideration, contact support@wealthsignal.com within 30 days of the charge.

4.4 Price Changes

We reserve the right to modify subscription prices with at least 30 days' written notice to existing subscribers. Price changes will take effect at the start of the next billing period following notice.

4.5 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities on your subscription fees. We will collect taxes where required by law.

5. Platform Usage

5.1 Permitted Use

WealthSignal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in connection with managing your own investment accounts.

5.2 Prohibited Activities

You agree not to:

• Use the Platform to trade securities in violation of any applicable law, including securities regulations, insider trading laws, or market manipulation rules
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
• Reproduce, distribute, or create derivative works based on the Platform's algorithms, strategies, or code
• Use automated bots, scrapers, or other tools to extract data from the Platform beyond normal use
• Interfere with or disrupt the Platform's operation or servers
• Circumvent any security measures or access controls
• Share your account credentials or allow third parties to access the Platform through your account
• Use the Platform for any fraudulent, deceptive, or misleading activity
• Attempt to gain unauthorized access to other users' accounts or data

5.3 Third-Party Services

The Platform integrates with third-party services (including Alpaca Markets). Your use of those services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or performance of third-party services.

6. Automated Trading Disclaimers

6.1 Nature of Automated Trading

WealthSignal provides algorithmic trading tools that execute trades automatically based on pre-configured parameters and strategies. Automated trading involves unique risks, including but not limited to: technical failures, connectivity issues, erroneous execution, and unanticipated market conditions.

6.2 User Responsibility

You are solely responsible for:

• Configuring and monitoring all trading strategies and parameters
• Ensuring sufficient funds are available in your brokerage account
• Understanding the strategies you deploy and their potential outcomes
• Monitoring your portfolio and positions on an ongoing basis
• Complying with all applicable securities laws and brokerage rules

6.3 No Guarantee of Execution

We do not guarantee that trade orders will be executed at any particular price or at all. Market conditions, broker availability, and technical issues may affect trade execution. We are not liable for losses resulting from failed, delayed, or incorrect trade execution.

6.4 System Availability

We strive to maintain high platform availability but do not guarantee uninterrupted service. During downtime, scheduled maintenance, or technical failures, automated trading may be suspended. We are not liable for losses incurred during periods of unavailability.

7. Investment Risk Disclosures

By using WealthSignal, you acknowledge and accept the following:

• Past performance is not indicative of future results. Historical performance data, backtests, and simulations shown on the Platform do not guarantee future returns.
• Market conditions change. Strategies that have performed well historically may underperform or fail entirely under different market conditions.
• Algorithmic errors. Software bugs, data errors, or unexpected market events may cause automated strategies to behave incorrectly.
• Leverage risk. If you use margin or leveraged products, losses may exceed your initial investment.
• Liquidity risk. Some securities may be illiquid, making it difficult to execute trades at desired prices.
• Regulatory risk. Changes in laws or regulations may affect the legality or practicality of certain trading strategies.

WealthSignal does not provide investment advice, tax advice, legal advice, or financial planning services. Nothing on the Platform constitutes a recommendation to buy, sell, or hold any security. You should consult with a qualified financial advisor, accountant, or attorney before making any investment decisions.

8. Intellectual Property

The Platform, including all software, algorithms, trading strategies, UI/UX design, graphics, text, data compilations, and all other content, is the exclusive property of WealthSignal and is protected by U.S. and international copyright, patent, trademark, and trade secret laws.

You are granted no intellectual property rights in the Platform beyond the limited license described in Section 5.1. Any unauthorized use, reproduction, or distribution of WealthSignal's intellectual property is strictly prohibited and may result in civil and criminal penalties.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEALTHSIGNAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Aggregate Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEALTHSIGNAL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO WEALTHSIGNAL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

9.4 Indemnification

You agree to indemnify, defend, and hold harmless WealthSignal and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

10. Account Termination

10.1 Termination by You

You may cancel your subscription and close your account at any time through your account settings or by contacting support@wealthsignal.com. Upon cancellation, access continues until the end of the current billing period.

10.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without notice or liability, for:

• Violation of these Terms or any applicable law
• Fraudulent, illegal, or abusive activity
• Non-payment of subscription fees
• Inactivity for an extended period (with prior notice)
• Circumstances that, in our judgment, make continued service inadvisable

10.3 Effect of Termination

Upon termination: (a) your license to use the Platform immediately ends; (b) you must cease all use of the Platform; (c) all pending automated trades may be cancelled; (d) you are responsible for closing any open positions. Sections 7 (Risk Disclosures), 8 (IP), 9 (Limitation of Liability), 11 (Dispute Resolution), and this Section 10.3 survive termination.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@wealthsignal.com and attempt to resolve the dispute informally for at least 30 days.

11.2 Binding Arbitration

If informal resolution fails, you and WealthSignal agree that any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as provided in Section 11.4 below. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.3 Class Action Waiver

YOU AND WEALTHSIGNAL EACH WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS-WIDE ARBITRATIONS, OR ANY OTHER REPRESENTATIVE ACTION. ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY.

11.4 Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including for intellectual property infringement or unauthorized use of the Platform.

11.5 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. For matters not subject to arbitration, you consent to exclusive jurisdiction in the federal and state courts located in Delaware.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Investment Disclaimers, constitute the entire agreement between you and WealthSignal regarding the Platform and supersede all prior agreements.

12.2 Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer any rights under these Terms without our prior written consent. We may assign our rights and obligations freely.
